Drummuir 21 Constitution

1. Name

The name of the group will be Drummuir 21.

2. Meeting Place

The group will meet in Drummuir Village Hall.

3. Objectives

The objects of the group are -

3.1. to encourage and promote the construction and restoration of a network of footpaths within the Drummuir area, for local people and visitors and to encourage greater participation in the activities of walking and cycling.
3.2
. to advance the education of the public regarding environmental issues and sustainable development.
In furtherance thereof:-
• To integrate the activities of groups and initiatives in the Drummuir area who have an interest in sustainable development.
• To encourage visitors to the area, including cyclists and walkers.
• To raise funds and/or employ staff and/or lease or hire property or equipment

4. Membership

4.1. Membership shall be open to representatives of community groups, businesses and agencies interested in furthering the objectives of the organisation.
4.2. Members will be asked to complete an application form to register as members.

5. Steering Group

5.1. A Steering Group will be appointed to co-ordinate the activities of Drummuir 21.
5.2. The Steering Group will be elected from the membership.
5.3. The Steering group will have the power to co-opt members.
5.4. Where appropriate sub-groups will be formed for specific tasks.
5.5. Office bearers will be appointed to include a Chair, Secretary & Treasurer.

6. AGM

6.1. An AGM will be held in February, with 14 days public notice.
6.2. All registered members will have voting rights at the AGM.
6.3. A report of the groups activities and a financial statement will be presented to the meeting.

7. Extraordinary AGM

7.1. The secretary will be obliged to call an EGM within 21 days on receipt of a written request signed by 4 (four) members.

8. Control of Finance

8.1. All monies raised by Drummuir 21 shall be applied to further the objects of the group and for no other purposes.
8.2. The funds shall be administered by the Steering Group through the office bearers.
8.3. All cheques must be signed by the Treasurer plus one other office bearer.
8.4. The Treasurer will be responsible for monitoring the funds, and presenting accounts at Steering Group meetings.

9. Alterations to the constitution

9.1. Alterations can only be made at the AGM when tabled in advance or at an EGM called specifically for that purpose.
9.2. Any change requires to be carried by a two-thirds majority of those present and entitled to vote.

10. Dissolution

10.1. If at any time, on the grounds of expense or otherwise it is necessary or advisable to dissolve Drummuir 21 an EGM will be called with not less than 21 days notice.
10.2. If such a dissolution is confirmed by a two-thirds majority of those present and eligible to vote, the assets of the group shall be disposed of after all debts and liabilities have been met. Such assets shall be distributed to constituted groups with charitable status working on projects in and around Drummuir.
